GX ENGINE TERMS OF SERVICE AND LICENSING AGREEMENT

BY PURCHASING, DOWNLOADING, INSTALLING, OR USING ANY GX ENGINE PRODUCT, YOU ACCEPT THE FOLLOWING TERMS OF SERVICE AND LICENSING AGREEMENT.

1. INTRODUCTION

GX Engine (“we,” “us,” or “our”) provides virtual instruments, including VST, AU, and standalone applications, for musicians, producers, DJs, and audio professionals through our website, www.gxengine.com. By purchasing, downloading, installing, or using any GX Engine product, you (“you” or “User”) agree to be bound by the terms and conditions of this Terms of Service and Licensing Agreement (“Agreement”). This Agreement is effective from the moment you install or use any GX Engine product and remains in effect until terminated. If you do not agree to these terms, do not purchase, download, install, or use our products.

2. PRODUCT REQUIREMENTS

Each GX Engine product has specific system requirements for compatibility with Mac and PC systems. GX Engine products are available for download through all major web browsers, including but not limited to Google Chrome, Firefox, and Safari. 3. ACTIVATION AND USE

3.1 User Login Activation: GX Engine products are activated through a user login system via your account on www.gxengine.com. No additional license keys are required. You must maintain the confidentiality of your account credentials and are responsible for all activities under your account.

3.2 Single-User Access: Each product is licensed for use by a single user only. You may use the purchased product on multiple devices you own, provided the product is activated through your user login and used solely by you.

3.3 Permitted Uses: GX Engine grants you a non-exclusive, non-transferable, perpetual right to use the virtual instruments, sounds, samples, and related content in our products for both commercial and non-commercial purposes, including music production, sound effects, audio/video post-production, performances, and broadcasts. You may use these assets in your commercial recordings without paying additional fees or providing attribution to GX Engine.

3.4 Prohibited Uses: This Agreement expressly prohibits:

• Sharing, distributing, reselling, trading, or transferring GX Engine products, sounds, or content to any other individual or entity.
• Incorporating GX Engine content into any other virtual instrument, sample library, or software/hardware without our express written consent.
• Modifying, reverse-engineering, decompiling, or creating derivative works from GX Engine products.
• Using GX Engine products in any way that violates this Agreement or attempts to bypass the user login activation system.

4. OWNERSHIP

GX Engine retains full copyright and ownership of all virtual instruments, sounds, samples, programming, and content included in our products. Your purchase grants you the right to use the content as specified in this Agreement, but does not transfer ownership.

5. NON-REFUNDABLE POLICY

All GX Engine products are non-refundable and non-returnable. We provide fully functional demo versions of our products for you to evaluate before purchasing. Please test the demo version to ensure compatibility and satisfaction prior to purchase. No refunds will be issued under any circumstances once a product is purchased.

6. RESPONSIBILITY

You use GX Engine products at your own risk. GX Engine is not responsible for any direct, indirect, incidental, or consequential damages arising from the use or inability to use our products, including but not limited to data loss, system crashes, or financial losses. Our products are provided “as is” without warranties of any kind.

7. COPY PROTECTION AND VIOLATION

GX Engine products utilize user login-based copy protection to prevent unauthorized use. Attempting to circumvent this system or violating any terms of this Agreement will result in termination of your access to the product and may lead to legal action. Users who violate this Agreement may be liable for damages.

8. PURCHASING PROCESS AND PRIVACY

8.1 Payment Methods: Purchases on www.gxengine.com are processed securely through SSL-certified payment systems. Accepted payment methods include credit/debit cards and other methods specified on our website. All purchases are one-time payments with no recurring charges.
